DISCLOSURE UNDER ASX LISTING RULE 3.10.5A NOTICE GIVEN UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001 (Cth)

Further to the announcement on 24 February 2015, Alchemy Resources Limited (ASX: ALY ) (“the Company”) advises that it has issued 33,333,334 shares at 1.5 cents per share to Northern Star Resources Limited (ASX: NST ) (“Northern Star”) pursuant to a placement (“Placement”).

Disclosure under ASX Listing Rule 3.10.5A

The Company provides the following information as required under ASX Listing Rule 3.10.5A in respect of the Placement:

• a) The dilutive effect of the Placement on existing shareholders is as follows:

Number of shares on issue prior to the Placement	195,454,701
Placement issue under Listing Rule 7.1 (14,787,864)	7.57%
Placement issue under Listing Rule 7.1A (18,545,470)	9.48%
Total dilution as a result of the Placement	17.05%

Northern Star was not a shareholder of the Company prior to the Placement.

• b) The Company issued the shares as a placement under Listing Rule 7.1A as it believed this was the most efficient mechanism for raising funds at the time.

• c) The Placement was not underwritten

• d) Legal costs were incurred in connection with the Placement.

Notice given under Section 708A(5)(e) of the Corporations Act 2001 (Cth)

In accordance with Section 708A(5)(e) of the Corporations Act 2001 (Cth) the Company gives the following notice:

1. The shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

2. This notice is being given under section 708A(5)(e) of the Corporations Act.

3. As at the date of this notice the Company has complied with:

   • a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • b) Section 674 of the Corporations Act.

4. As at the date of this notice, there is no information that is “excluded information” of the type referred to in section 708A(7) and 708A(8) of the Corporations Act.
