Managing Director’s Contract

Alchem y Resources Limited (“ A lchemy” o r “the Com p any”) ( ASX: ALY ) is pleased to a d vise that Managi n g Director Mr Robert B rierley completed his p robationary period wit h the Comp a ny on 30 June 20 1 1.

A sum m ary of the key terms and condit i ons of Mr Brierley’s e x ecutive se r vices agre e ment are detaile d below:

Contract Term

The con t ract is for a term of five years.

Total Fixed Remuneration

Total fi x ed remuner a tion is $30 0 ,000 per an n um (plus s t atutory sup e rannuation ) .

Incentive Arrangements

The Co m pany will s e ek approv a l from shar e holders at i ts upcomin g Annual General Meeti n g for the establis h ment of a Performance Rights Pl a n (“the Pla n ”). Mr Bri e rley will, s u bject to shareholder approv a l, be issue d the follo w ing Perfor m ance Right s under the Plan, the p ricing of w hich was determined on 30 J u ne 2011:

1,000,0 0 0 Shares o n vesting of 1,000,000 P erformanc e Rights subject to Mr B rierley com p leting 12 months of continu o us service a nd the Alc h emy Share Price reaching a Volu m e Weighte d Average Price (“ V WAP”) for 2 0 continuo u s trading d a ys of not le s s than $0.2 5 .

1,000,0 0 0 Shares o n vesting of 1,000,000 P erformanc e Rights subject to Mr B rierley com p leting 24 months of continu o us service and the Al c hemy Shar e Price rea c hing a VW A P for 20 c o ntinuous trading d ays of not less than $0.37.

1,000,0 0 0 Shares o n vesting of 1,000,000 P erformanc e Rights subject to Mr B rierley com p leting 36 months of continu o us service and the Al c hemy Shar e Price rea c hing a VW A P for 20 c o ntinuous trading d ays of not less than $0.50.

Termination

The Co m pany may terminate Mr Brierley ’ s employm e nt by givi n g 6 month s notice or making a payment of 6 month’s salary in lieu of noti c e. In certain circumsta n ces where t he position becomes redund a nt 12 mon t h’s salary i s payable. Mr Brierley may termi n ate his em p loyment b y giving 6 months written notice to the Company.
