Bağlı Ortaklığımız Alarko Tarım Sanayi ve Ticaret A.Ş. ("Alarko Tarım") Yönetim Kurulunun 26.03.2024 tarihli kararı uyarınca;

-  Tarım alanında faaliyet gösteren Beybur Tarım ve Hayvancılık Anonim Şirketi ("Beybur Tarım"), 50.000,00 TL olan sermayesini 300.000.000,00 TL'ye çıkarmaya karar vermiş olup söz konusu sermaye artırımına iştirak edilmesine,

-  Bu kapsamda taahhüt edilen 299.950.000,00 TL sermaye tutarının Alarko Tarım'ın Beybur Tarım'dan olan nakit alacağından karşılanmasına ve

-  Sermaye artırımı ile ihraç edilecek ve şirketin toplam sermayesinin %99,98'ine tekabül edecek 299.950.000,00 TL nominal değerli 299.950.000 adet payın Alarko Tarım tarafından edinilmesine,

karar verildiği daha önceden kamuoyuna duyurulmuştu.

Alarko Tarım Yönetim Kurulu'nun söz konusu finansal duran varlık edinimine ilişkin 08.04.2024 tarihli yeni kararı uyarınca,

-  Sermaye artışına iştirak etmeden önce, Beybur Tarım'ın 50.000 TL tutarındaki mevcut sermayesinin %100'üne denk gelen 50.000 hissenin 50.000,00 TL bedelle devralınmasına,

-  Hisse devri gerçekleştikten sonra Beybur Tarım'ın 50.000,00 TL olan sermayesini 300.000.000,00 TL'ye çıkarmayı planladığı sermaye artırımına iştirak edilmesine,

-  Bu kapsamda taahhüt edilen 299.950.000,00 TL tutarındaki sermayenin Alarko Tarım'ın Beybur Tarım'dan olan nakit alacağından karşılanmasına ve

-  Sermaye artırımı ile ihraç edilecek 299.950.000,00 TL nominal değerli 299.950.000 adet payın Alarko Tarım tarafından edinilmesine,

karar verilmiştir.

It has been announced to public that; as per the Resolution dated 26.03.2024 of the Board of Directors of our subsidiary Alarko Tarım Sanayi ve Ticaret A.Ş. ("Alarko Tarım") it has been decided;

- to participate in the capital increase of Beybur Tarım ve Hayvancılık A.Ş. ("Beybur Tarım"), a company operating in the agriculture field, which will raise its capital from TRY 50,000.00 to TRY 300,000,000.00,

- within this scope, to cover the committed capital amount of TRY 299,950,000.00 from the cash receivables of Alarko Tarım from Beybur Tarım and

- to acquire 299,950,000 shares with the nominal value of TRY 299,950,000.00 that will be issued by the capital increase which will correspond to the 99.98% of the total company capital.

As per the new Resolution dated 08.04.2024 regarding acquisition of non-current financial asset, of Alarko Tarım's Board of Directors it has been decided;

- to acquire 50,000 shares with the total nominal value of TRY 50,000.00 of Beybur Tarım which corresponds to 100% of its capital in consideration of TRY 50,000.00 before participating in the capital increase,

- after completion of the share acquisition, to participate in the capital increase of Beybur Tarım which plans to raise its capital from TRY 50,000.00 to TRY 300,000,000.00,

- within this scope, to cover the committed capital amount of TRY 299,950,000.00 from the cash receivables of Alarko Tarım from Beybur Tarım and

- to acquire 299,950,000 shares with the nominal value of TRY 299,950,000.00 that will be issued by the capital increase.
