Additional Explanations

Şirketimizin 29.03.2023 tarihli Olağan Genel Kurul toplantısında;

• Şirketimizin, 2022 yılına ait finansal tablolarında yer alan 632.043.140,-TL vergi öncesi kârından; Sermaye Piyasası Mevzuatı, Şirket Esas Sözleşmesi ve diğer mevzuat hükümleri uyarınca 52.767.620,-TL vergi karşılığı ayrıldıktan sonra kalan net dönem kârı 579.275.520,-TL olup önceki yıllarda ayrılan birinci tertip genel kanuni yedek akçe tutarı yasal tavana ulaştığından, birinci tertip genel kanuni yedek akçe ayrılmamasına,

• Net dağıtılabilir dönem kârına 1.056.358,65 TL tutarındaki bağışların ilavesi ile oluşan 580.331.878,65 TL'nin %15,51'ine tekabül eden 90.000.000,-TL (Brüt) tutarındaki kısmının ortaklara kâr payı olarak nakden dağıtılmasına,

• Dağıtılacak kâr payı üzerinden 8.946.000,-TL tutarında ikinci tertip genel kanuni yedek akçe ayrılmasına,

• Ar-Ge Girişim Sermayesi Fonu olarak 575.324,06 TL ve taşınmaz satış karının %50'si olan 181.928.469,86 TL'nin kurumlar vergisi istisnasından yararlanması amacıyla toplam 182.503.793,92 TL'nin pasifte özel fonlar hesabına aktarılmasına,

• Vergi tevkifatına tabi olan kâr payı kısmı üzerinden gerekli vergi tevkifatının yapılmasına,

• Kalan tutarın olağanüstü yedek akçelere eklenmesine,

• Kâr payı dağıtımına 17 Nisan 2023 tarihinde başlanmasına,

oybirliği ile karar verildi.
