Additional Explanations

Yönetim Kurulumuzun 26.02.2020 tarihli ve 766 no.lu kar dağıtım önerisine ilişkin kararının, yasal düzenlemeler dikkate alınarak değiştirilmesine ve aşağıdaki şekilde yeni kar dağıtım önerisinde bulunulmasına,

· Şirketimizin, 2019 yılına ait finansal tablolarında yer alan 18.078.800,-TL dönem karından; Sermaye Piyasası Mevzuatı, Şirket Esas Sözleşmesi ve diğer mevzuat hükümleri uyarınca 1.683.870,-TL vergi karşılığı ayrıldıktan sonra kalan net dönem karı 16.394.930,-TL olup önceki yıllarda ayrılan birinci tertip genel kanuni yedek akçe tutarı yasal tavana ulaştığından, birinci tertip genel kanuni yedek akçe ayrılmamasına,

· 2019 yılında bağış yapılmadığından, net dağıtılabilir dönem karı 16.394.930,-TL'nin %24,97'sine tekabül eden 4.093.200,-TL (Brüt) tutarındaki kısmının ortaklara kar payı olarak nakden dağıtılmasına,

· Dağıtılacak kar payı üzerinden 355.320,-TL tutarında ikinci tertip genel kanuni yedek akçe ayrılmasına,

· Vergi tevkifatına tabi olan kar payı kısmı üzerinden gerekli vergi tevkifatının yapılmasına,

· Kalan tutarın olağanüstü yedek akçelere eklenmesine,

· Kar payı dağıtımına 22 Temmuz 2020 tarihinde başlanmasına,

Bu önerimizin genel kurul'un onayına sunulmasına,
