Appointment of Chairman and Corporate Governance Review

Alara Resources Limited is pleased to confirm the appointment of Ian Williams as NonExecutive Chairman of Alara.

Ian has considerable experience in the development and operation of large scale base metal mining operations, including responsibility for the development and commissioning of the world class Century lead/ zinc mine in north western Queensland.

Ian joined the Alara Board in November 2010 as a Non-Executive Director.

His appointment to the position of Chairman follows a corporate governance review, from which the appointment of an independent Non-Executive Chairman was one of the key structural Board changes recommended for Alara to follow best industry practice.

In addition, Executive Directors Farooq Khan and William Johnson have transitioned to become Non-Executive Directors of Alara. As a consequence, the Board of Alara is now structured with a majority of Non-Executive Directors as follows:

Ian Williams Non-Executive Chairman and Chairman of the Remuneration and Nomination Committee

Shanker Madan Managing Director Doug Stewart Non-Executive Director and Chairman of the Audit Committee Farooq Khan Non-Executive Director William Johnson Non-Executive Director

These changes have also flowed from the corporate governance review and have been made primarily to bring the Company in line with industry best practice and in recognition that, as the internal management team of Alara is strengthened, operational responsibility is progressively handed over from the team of founding Directors to an executive management team.

Farooq Khan and William Johnson will contribute strategic and corporate advice and services to Alara on a part time basis (in addition to their duties as Non-Executive Directors).

The Company has also revised its Corporate Governance Statement and developed a Code of Conduct, both of which can be viewed on the Company’s website, www.alararesources.com.

Ian J. Williams AO, FAusIMM, FIEAust

Ian Williams has had a distinguished career in the mining and processing industries.

Ian was awarded an Officer of the Order of Australia (AO) in June 2010 for distinguished service to the Indigenous community of Western Australia and Queensland through the establishment of training programmes providing sustainable employment in the mining industry, the promotion of social responsibility and as a supporter of business development initiatives.

As Managing Director of Century Zinc Ltd, Ian was responsible for planning and bringing on stream the Century lead/ zinc mine in north western Queensland. Producing some 7% of the world’s demand for zinc concentrate, the Century mine is one of the largest zinc mines in the world.

Ian is currently Chair of the Port Hedland Port Authority, a Non-Executive Director of Bougainville Copper Limited (BOC) and a director of a major private structural fabrication company.

His diverse experience includes executive management of open cut and underground mining operations, brownfield expansions and new major mining projects. He was responsible for the establishment of two iron ore mines and associated infrastructure for Hamersley Iron. He has also assisted the West Australian Government in the facilitation of a major new port and rail infrastructure project in the State’s Mid-West Region.

Ian has qualifications in Electrical Engineering and is a Fellow of the Australasian Institute of Mining and Metallurgy and of the Institution of Engineers Australia.
