Sub: Outcome of the meeting of the Board of Directors to approve fund raising via Rights Issue

With reference to our intimation dated 27[th] July, 2020 and pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) , we wish to inform you that the Board of Directors of the Company, at its meeting held today, has, inter-alia, considered and approved the fund raising by way of the Rights Issue of Equity shares of face value of Re. 1/- each of the Company, to eligible equity shareholders of the Company as on the record date (to be notified later), of an issue size of up to Rs. 25 Crores (the “Issue”). The following details were approved in this regard:

• i. Type of Instrument: Partly Paid-up Equity Shares of face value of Re.1/- on rights basis.

• ii. Constituted ‘Rights Issue Committee’ to decide other terms and conditions of the Issue, including but not limiting to deciding the issue price, rights entitlement ratio, record date, timing, terms and schedule of payment, from time to time etc. The members of the Committee are as follows :

• Mr. Ashok Shantilal Bhuta- Member (Independent Director)

Mr. Yash Jeet Basrar- Member (Independent Director)

• iii. Appointment of M/s Corporate Professionals Capital (P) Ltd, SEBI Registered Category I Merchant Bankers to act as a “Lead Manager to the Issue”.

• iv. Appointment of M/s. Alankit Assignments Limited as the “Registrar to the Issue”.

The meeting started at 01:30 p.m. and concluded at 1:55 p.m.
