Til aksjeeierne i AKVA group ASA / to the shareholders of AKVA group ASA

KONSERNINTERN FUSJON MELLOM AKVA GROUP ASA, AKVA GROUP SOFTWARE AS AND POLARCIRKEL AS

AKVA group ASA (AKVA) eier samtlige aksjer i AKVA group Software AS og Polarcirkel AS.

Styrene i AKVA group ASA, AKVA group Software AS og Polarcirkel AS har utarbeidet og signert felles fusjonsplaner for konsernintern fusjon av AKVA group Software AS og Polarcirkel AS (begge som overdragende selskap) med AKVA group ASA (som overtakende selskap).

Formålet med fusjonene er å forenkle selskapsstrukturen i konsernet.

I henhold til fusjonsplanene, som enda ikke har blitt formelt vedtatt av styrene, skal alle eiendelene, rettighetene og forpliktelsene til henholdsvis AKVA group Software AS og Polarcirkel AS i sin helhet overføres til AKVA group ASA.

Fusjonene gjennomføres etter de forenklede reglene om mor-datter fusjoner i henhold til allmennaksjeloven § 13-24 uten at det ytes noe vederlag.

Ved fusjonens ikrafttredelse oppløses AKVA group Software AS og Polarcirkel AS.

Fusjonsplanene skal behandles, og forventes å bli vedtatt, av styrene på eller rundt 26. oktober 2024.

Siste årsregnskap, årsberetning og revisjonsberetning for AKVA group ASA, AKVA group Software AS og Polarcirkel AS, samt fusjonsplanen, er tilgjengelig for aksjeeierne på forretningskontoret til AKVA group ASA og på AKVA group ASAs nettsider https://www.akvagroup.com/investors/financial-info/other-presentations-reports/

Hver aksjeeier kan kreve å få tilsendt disse dokumentene vederlagsfritt.

INTRA-GROUP MERGER BETWEEN AKVA GROUP ASA AND ITS WHOLLY OWNED SUBSIDIARIES AKVA GROUP SOFTWARE AS AND POLARCIRKEL AS

AKVA group ASA (AKVA) owns all shares in AKVA group Software AS and Polarcirkel AS.

The boards of directors of AKVA, AKVA group Software AS and Polarcirkel AS have prepared and signed joint mergers plan for the intra group the mergers of AKVA group Software AS and Polarcirkel AS (both as non-surviving entities) with AKVA (as the surviving entity).

The purpose of the mergers is to simplify the corporate structure in the group.

Pursuant to the merger plans, which have not yet been formally adopted by the boards of directors, all assets, rights and liabilities of AKVA group Software AS and Polarcirkel AS, respectively, will be transferred to AKVA group ASA. The mergers will be carried out in accordance with the simplified merger procedure for parent/subsidiary mergers set out in section 13-24 of the Norwegian Public Limited Liability Companies Act without any consideration being rendered.

When the mergers are completed, AKVA group Software AS and Polarcirkel AS will be dissolved.

The merger plans shall be considered, and is expected to be approved, by the boards of directors on or about 26 October 2024.

The latest annual accounts, annual report and auditor's report for AKVA group ASA, AKVA group Software AS and Polarcirkel AS, as well as the merger plan, are available for the shareholders at the offices of AKVA group ASA and on AKVA's webpage: https://www.akvagroup.com/investors/financial-info/other-presentations-reports/

Each shareholder may request that the documents are submitted to him/her free of charge.
