Additional Explanations

Şirketimiz Yönetim Kurulu'nca Sermaye Piyasası Kurulu'nun 21 Temmuz ve 25 Temmuz 2016 tarihli basın duyurularında verilen izine istinaden 3 Ağustos 2018 tarihinde Kamuyu Aydınlatma Platformu'nda yayınlanmak suretiyle başlatılmış olan pay geri alım programının sonlandırılmasına ve Sermaye Piyasası Kurulu'nun i-SPK.22.7 (14.02.2023 tarih ve 9/177 s.k.) sayılı İlke Kararı çerçevesindeki imkanlardan faydalanılması için pay fiyatının Şirket faaliyetlerinin gerçek performansını yansıtmadığı düşüncesiyle, Şirketimiz paylarında başta küçük paydaşlarımız olmak üzere tüm paydaşlarımızın menfaatlerinin korunması ve sağlıklı fiyat oluşumuna katkıda bulunulması amaçları ile herhangi bir limit ve fiyat söz konusu olmaksızın aşağıda belirtilen şartlarda yeni bir pay geri alım programının başlatılmasına karar verilmiştir.

Bu kapsamda,

• Pay geri alım programının işbu karar tarihinden itibaren önümüzdeki 3 takvim yılını kapsayacak şekilde belirlenmesine,

• Pay geri alımı için ayrılabilecek azami fon tutarının 60.000.000 TL (altmış milyon Türk Lirası) olarak belirlenmesine,

• Pay geri alımına konu olabilecek azami pay sayısının 6.000.000 TL (altı milyon Türk Lirası) nominal değerli olarak belirlenmesine,

• Şirketimizin borsada kendi paylarının geri alımını gerçekleştirmesi için Genel Müdür Levent Çanakçılı ve Mali İşler Genel Müdür Yardımcısı Naile Banuhan Yürükoğlu'nun yetkilendirilmesine,
