Şirketimizin tahsisli sermaye artırımı kapsamında artırılan 180.930.499 TL nominal değerli payların ihracının ilgili düzenlemeler çerçevesinde tamamlanarak, bedellerinin nakden ve tamamen ödenmiş olması sebebiyle, sermaye artırımının 6362 sayılı Sermaye Piyasası Kanunu ve ilgili mevzuat hükümleri çerçevesinde tamamlanmasına bağlı olarak Şirketimiz esas sözleşmesinin "Şirketin Sermayesi" başlıklı 6. maddesinin yeni şekline uygun görüş verilmesi amacıyla Sermaye Piyasası Kurulu'na (SPK) yapılan başvuru kapsamında, SPK'nın 29.11.2024 tarihli yazısı ile Şirketimiz esas sözleşmesinin "Şirketin Sermayesi" başlıklı 6. maddesinin yeni şekline uygun görüş verildiği Şirketimize bildirilmiştir.

SPK tarafından uygun görüş verilen esas sözleşmemizin sermaye maddesinin yeni şekline ekte yer verilmekte olup, söz konusu maddenin yeni şeklinin  tescili için Ankara Ticaret Sicil Müdürlüğü'ne başvuru yapılacaktır.

Kamuoyuna ve yatırımcılarımıza saygıyla duyurulur.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

In the context of our company's capital increase through an allocated capital increase, following the completion of the issuance of shares with a nominal value of 180,930,499 TL in accordance with applicable regulations, and the full and cash payment of the proceeds, the Capital Markets Board (CMB) was approached for approval of the updated version of Article 6, titled "Capital of the Company," in our Articles of Association, in line with the completion of the capital increase pursuant to the Capital Markets Law No. 6362 and related regulations. The CMB, through its letter dated November 29, 2024, has informed us that the updated version of Article 6, titled "Capital of the Company," in our Articles of Association, has been deemed appropriate.

The revised version of the article, as approved by the CMB, is attached and will be submitted to the Ankara Trade Registry Office for registration.
