Şirketimiz Yönetim Kurulu'nun 21.08.2024 tarih ve 2024/23 sayılı kararı ile;

1) Şirketimizin 1.300.000.000 TL olan çıkarılmış sermayesinin, tamamı nakden karşılanmak suretiyle 2.600.000.000 TL artırılarak 3.900.000.000 TL'ye çıkarılması kapsamında ihraç edilen payların halka arzı suretiyle temin edilen fonun kullanımına ilişkin olarak 12.10.2023 tarihinde KAP'ta ve halka arz izahnamesinde duyurulan "Sermaye Artırımından Elde Edilecek Fonun Kullanım Yerlerine İlişkin Rapor"da ("Fon Kullanım Raporu") belirtilen Tersane Otel Projesi için kullanılması planlanan fon tutarının (830 milyon TL), Tersane Otel Projesi'ne ilişkin yapılan nihai değerlendirmeler ve artan maliyetler ile riskler göz önünde bulundurularak; Şirketimiz için daha etkin, karlı ve gelişen durumlara uyum sağlayabilecek şekilde kullanımı amacıyla, Fon Kullanım Raporu'nda yer verilen diğer projelerimizin hızlandırılması ve geliştirilmesi ile Şirketimizin olağan faaliyetleri çerçevesinde fırsat olarak değerlendirilebilecek yatırımların finansmanında kullanılması amacıyla Fon Kullanım Raporu'nda değişiklik yapılmasına,

2) Söz konusu değişikliğin onaylanmasını teminen SPK'ya başvuruda bulunulmasına

karar verilmiş olup, 21.08.2024 tarihinde (bugün) SPK'ya başvuruda bulunulmuştur.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

With the decision of our Company's Board of Directors dated 21.08.2024 and numbered 2024/23;

1) Regarding the utilization of the funds obtained through the public offering of the shares issued within the scope of increasing our Company's issued capital of TL 1,300,000,000,000 to TL 3,900,000,000 by increasing it by TL 2,600,000,000, all of which will be covered in cash, it was announced on 12.10. 2023, the amount of funds planned to be used for the Tersane Hotel Project (TL 830 million) stated in the "Report on the Uses of the Funds to be Obtained from the Capital Increase" ("Fund Usage Report") announced on PDP and in the public offering prospectus on 12.10; To amend the Fund Utilization Report in order to accelerate and develop our other projects included in the Fund Utilization Report and to use it in the financing of investments that may be considered as opportunities within the framework of our Company's ordinary activities in order to use it in a more effective, profitable and adaptable manner for our Company,

2) It has been decided to apply to the CMB

for the approval of the said amendment and the application was made to the CMB on 21.08.2024 (today).
