Havfisk ASA: Disclosure of shareholdings and primary insider notice

Aker Capital AS, a company wholly owned by Aker ASA, has today entered into an

agreement with Lerøy Seafood Group ASA for the sale of 53,501,793 shares in

Havfisk ASA (the "Company") at a price of NOK 36.5 per share. The transaction is

conditional on financing as well as regulatory and third party approvals.

Following completion of the transaction, Aker Capital AS will not hold any

shares in the Company.

In connection with the above transaction, Fausken Invest AS, a company wholly-

owned by Frank Ove Reite, Chairman of the Company's Board of Directors, has

committed to sell its 1,026,632 shares in the Company at a price of NOK 36.5 per

share. The sale will be completed together with, and accordingly subject to the

same conditions as, the sale by Aker Capital AS described above.

Following completion of the transaction, Fausken Invest AS will not hold any

shares in the Company.
