Cognite convertable loan

As shareholders in Cognite AS ("Cognite"), a company controlled by Aker ASA,

Aker Capital AS and Erøy AS have subscribed for investments in a convertible

loan to Cognite. Aker Capital AS has subscribed for NOK 82,362,785. Erøy AS,

controlled by Øyvind Eriksen, President and CEO of Aker ASA, has subscribed for

NOK 1,978,090.

The loan may be converted into equity in various defined scenarios. The number

of shares which will be issued in a conversion depends on which scenario that

triggers the conversion.

In addition to the abovementioned convertible, Aker Capital AS holds 6,791,780

shares in Cognite, constituting 63.987 per cent of the company's shares and

votes, and Erøy AS holds 208,220 shares in Cognite, constituting 1.962 per cent

of the company's shares and votes.
