Aker ASA : Result of Dividend Issue

Reference is made to the 15 May 2015 stock exchange notice by Aker ASA (the

"Company") regarding the dividend issue (the "Dividend Issue"), whereby each

shareholder in the Company could choose to use half of one's entitled dividend

payment to subscribe for new shares in the Company, as per the resolution passed

by the Annual General Meeting on 17 April 2015. The subscription period expired

on 29 May 2015 and subscriptions were made for a total of 1 947 134 new shares

in the Dividend Issue, resulting in gross proceeds of approximately NOK 305

million. Accordingly, shareholders representing approximately 84 per cent of the

Company's shares chose the share alternative in the Dividend Issue.

Allocation letters will be sent on or around 3 June 2015 to subscribers, giving

notification of the number of allocated new shares. The share capital increase

relating to the Dividend Issue is expected to be registered with the Norwegian

Register of Business Enterprises (Nw. Foretaksregisteret) on 4 June 2015,

following which the new shares are expected to be delivered to investors' VPS

accounts on or around 5 June 2015.

The new shares issued through the Dividend Issue will be registered with VPS

under ISIN NO 0010234552 and will be traded on Oslo Børs under the Company's

trading symbol "AKER". Trading of the new shares will commence on or around 5

June 2015.

Payment of the cash dividend will be carried out on or around 5 June 2015.
