Aker Carbon Capture: Mandatory notification of trade - Buyback of own shares and primary insiders purchase of shares under the 2020 share purchase program

14 December 2020 – Reference is made to the stock exchange announcement on 10 December 2020 where Aker Carbon Capture AS (“Aker Carbon Capture” or the “Company”) announced the 2020 share purchase program for employees and the Company’s intention to buyback own shares to settle subscriptions under the program.

Aker Carbon Capture has today purchased 47.193 shares in the Company in accordance with the authorization granted to the Board of Directors in the extraordinary general meeting held on 23 September 2020. The shares were purchased on Euronext Growth at an average price of NOK 13.4577. Following the transaction, the Company holds a total of 142,539 own shares and has thereby completed its buyback program for the purpose of settlement towards participants in the 2020 share purchase program. All treasury shares will be sold back to participants under the 2020 share purchase program at the Subscription Price (as defined below), leaving the Company with no own shares after delivery of shares to the participants, expected on or about 23 December 2020.

The average volume-weighted share price during the buyback period from 10 to 14 December 2020 was NOK 13.0431, which gives a final subscription price per share in the 2020 share purchase program of NOK 9.13017 (the “Subscription Price”), including a discount of 30% as further set out in the stock exchange announcement published by the Company on 10 December 2020.

The following primary insiders of Aker Carbon Capture have purchased shares in the Company under the share purchase program:

• Pernille Brente, General Counsel, has purchased 4,628 shares in the Company at the Subscription Price. After the transaction, Brente holds a total of 4,628 shares in the Company.

• Jon Christopher Knudsen, Chief Commercial Officer, has purchased 31 356 shares in the Company at the Subscription Price. After the transaction, Knudsen holds a total of 88,356 shares in the Company.

• Erik Langholm, Chief Project Officer, has purchased 13,417 shares in the Company at the Subscription Price. After the transaction, Langholm holds a total of 13,417 shares in the Company.

• Valborg Lundegaard, Chief Executive Officer, has purchased 25,396 shares in the Company at the Subscription Price. After the transaction, Lundegaard holds a total of 30,581 shares in the Company.

• Jim Stian Olsen, Chief Technology Officer, has purchased 6,325 shares in the Company at the Subscription Price. After the transaction, Olsen holds a total of 10,725 shares in the Company.
