AJ Bell plc ("AJ Bell" or "Company")

Issue of ordinary shares

On 7 June 2019, the Company issued 1,045,124 new ordinary shares of £0.000125 each from its block listing authority of 24 December 2018 for the purposes of its Company Share Option Plan, Executive Incentive Plan and Buy As You Earn Scheme. Those shares rank equally in all respects with the existing issued ordinary shares in the Company.

Following these issues, as announced in the Company's Six Monthly Block Listing Return on 24 June 2019, the Company has the ability to issue a further 1,325,783 ordinary shares under the 24 December 2018 block listing authority.

As a result of these issues, the total number of ordinary shares in issue now stands at 408,381,777 and the total number of voting rights in the Company is 408,381,777.

There are no shares held in Treasury.

The above figure of 408,381,777 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
