Director/PDMR/PCA Transaction - Initial Notification

The Company announces that it has been notified that:

a)   Louis Petherick, a person discharging managerial responsibility (PDMR) in the Company, has transferred by way of gift 50,890 ordinary shares of £0.000125 each (Ordinary Shares) in the Company to Laura Petherick, a person closely associated (PCA) with him.  The transfer took place on 22 June 2020. 

b)   Laura Petherick has:

(i)   in order to effect a "Bed and ISA" transaction, sold 5,188 Ordinary Shares at a price of £3.835 per Ordinary Share and then repurchased, into her Individual Savings Account (ISA), the same number of 5,188 Ordinary Shares at a price of £3.835 per Ordinary Share; and

(ii)   in order to effect "Bed and Junior ISA" transactions in favour of her children, both of whom are a PCA with Louis Petherick, sold 4,702 Ordinary Shares at a price of £3.83 per Ordinary Share; and

c)   Louis Petherick, in order to effect to those "Bed and Junior ISA" transactions in favour of his children, has purchased, into:

(i)   a Junior Individual Savings Account (Junior ISA), in the name of his son, William Richard Petherick, 2,351 Ordinary Shares at a price of £3.8301 per Ordinary Share; and

(ii)   a Junior ISA in the name of his son, Samuel Casper Petherick, 2,351 Ordinary Shares at a price of £3.8301 per Ordinary Share.

The transactions at b) and c) above all took place on 23 June 2020.

The transactions were entered into in accordance with exceptions from the lock up arrangements applicable to Management Selling Shareholders (as defined in the prospectus published in relation to the initial public offering of the Company's shares on 27 November 2018 (Prospectus), as described in paragraph 10 of Part 7 (Details of the Offer) of the Prospectus, of two years in respect of 50% of their shareholdings at Admission (as defined in the Prospectus). Notwithstanding the transactions, the Ordinary Shares remain subject to the terms of such lock up arrangements.

Following the transactions, there has been no change in the number of shares in which Louis Petherick has an interest.

This announcement, including the notification below, is made in accordance with the requirements of the EU Market Abuse Regulation.
