Item 7.01 Regulation FD Disclosure

Contrail Aviation Support, LLC (“Contrail”) a 79%-owned subsidiary of Air T, Inc. (the “Company”) recently entered into an aircraft sale agreement to purchase two used Airbus A319-100 aircraft. The purchase price exceeds $35,000,000. Contrail is in the process of completing financing with respect to the transaction. In connection with the acquisition, Contrail will assume the lessor’s interest in each respective aircraft lease. Additional information will be provided at the time the transaction and financing is completed. While the Company believes that these transactions will occur in the near future, there is no assurance that these transactions will occur.
