PROFIT WARNING

This announcement is made by Ahsay Backup Software Development Company Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on the GEM of The Stock Exchange of Hong Kong Limited (the “ GEM Listing Rules ”) and the Inside Information Provisions (as defined under the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the laws of Hong Kong).

The board (the “ Board ”) of directors (the “ Directors ”) of the Company would like to inform the shareholders of the Company (the “ Shareholders ”) and potential investors that based on a preliminary review of the unaudited consolidated management accounts of the Group for the three months ended 31 March 2019 (the “ Period ”), the Group expects to record a net loss for the Period as compared to a net profit for the corresponding period in 2018. Based on the information currently available, the Board considers the change from profit to loss to be mainly attributable to (i) a slightly decrease in revenue derived from customers leasing under the software license of the older version of Ahsay™ Backup Software — Version 6 which end of life was in late 2018, (ii) increase in staff cost as a result of the increase in average number of headcount, and (iii) increase in operating expenses mainly from increase in professional fees, advertising and marketing expenses and amortisation of intangible assets.

The information contained in this announcement is only based on a preliminary review by the Board on the unaudited consolidated management accounts of the Group for the three months ended 31 March 2019 and other information currently available to the Board, which have not been reviewed or audited by the audit committee and auditors of the Company, and is subject to possible adjustments. Details of the financial information and performance of the Group for the three months ended 31 March 2019 will be disclosed in the quarterly results announcement of the Company for the three months ended 31 March 2019, which is expected to be approved and published on 3 May 2019.
