40/2023 Repayment of loan granted by SFS Ventures s.r.o.RegulatoryfilingIn connection with regulatory filings No. 12/2023 ofFebruary 27, 2023 and 32/2023 of July 12,2023 the Management Board ofAgora S.A. with its seat in Warsaw (_quot;Company_quot;), hereby informs that onDecember 28, 2023, the Company has made a full, voluntary, earlyrepayment of loan granted to the Company by SFS Ventures s.r.o. with itsseat in Prague (_quot;SFS Ventures_quot;), in accordance with provisions of theloan agreement of February 27, 2023 (_quot;Loan_quot;).TheCompany has repaid the Loan principal in the amount of EUR 4,770,000.00together with due interest.Full repayment of the Loan causes thetermination of all collaterals made in favour of SFS Ventures inconnection with the Loan, as published by the Company in the regulatoryfiling No. 12/2023 of February 27, 2023, in particular a registeredpledge over 220 shares of Eurozet sp. z o.o. owned by the Company andassignment of the Company's property rights for dividends and similarpayments attaching all shares of Eurozet sp. z o.o. owned by the Company.TheCompany made the repayment of the Loan from its own funds.Legalbasis: At. 17 sec. 1 of Regulation (EU) No 596/2014 of the EuropeanParliament and of the Council of 16 april 2014 on market abuse(regulation on market abuse) and repealing Directive 2003/6/ EC of theEuropean Parliament and of the Council and Commision Directive 2003/124/WE, 2003/125/ EC and 2004/72/ EC - confidential information
