Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 15, 2017, Lewis C. Cantley, Ph.D. notified Agios Pharmaceuticals, Inc. (the “Company”) of his decision to resign as a member of the Board of Directors of the Company (the “Board”) and as chairman of the Board’s Science & Technology Committee, effective December 31, 2017. Dr. Cantley’s resignation from the Board is due to other commitments, and is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Dr. Cantley will continue to serve on the Company’s scientific advisory board.
