(1) Amount of registration fee was calculated pursuant to Section 6(b) of the Securities Act of 1933, which provides that the fee shall be $136.40 per $1,000,000 of the proposed maximum aggregate offering price of the securities proposed to be offered.

(2) Includes increases to the number of shares of Agilent's Common Stock reserved for issuance under, and which annual increases are provided for, in the Employee Stock Purchase Plan.

(3) In accordance with Rule 416(a), Agilent is also registering hereunder an indeterminate number of shares that may be issued and resold to prevent dilution resulting from stock splits, stock dividends or similar transactions.

(4) Estimated in accordance with Rule 457(c) and (h) solely for the purpose of calculating the filing fee on the basis of $39.54 per share, which represents 85% of the average of the high and low prices reported on the New York Stock Exchange on May 28, 2013.

This Registration Statement is filed pursuant to Item E under the general instruction to Form S-8 under the Securities Act of 1933, as amended, with respect to 10,000,000 additional shares of Registrant's Common Stock that may be issued pursuant to Agilent's Employee Stock Purchase Plan, as amended (the “Plan”), as a result of certain automatic increases. Accordingly, the contents of Agilent's Form S-8 Registration Statement Nos. 333-47024 and 333-150873, filed by Agilent with the Securities and Exchange Commission on September 29, 2000 and May 13, 2008, respectively, are incorporated herein by reference.
