19.08.2021 tarihinde yapılan KAP açıklamamızda İştirakimiz Çelik Motor Ticaret A.Ş.'nin %100 bağlı ortaklığı olan saatlik araç kiralama şirketi Moov Dijital Ulaşım Çözümleri Ticaret A.Ş.'nin (MOOV) sermayesini temsil eden payların %75'inin Getir Perakende Lojistik A.Ş.'ne satılmasına yönelik bağlayıcı olmayan bir mutabakat sağlanarak ilgili pay devrine ilişkin gerekli süreçlerin başlatıldığı belirtilmişti.

Bu çerçevede, pay devrine ilişkin Rekabet Kurulu izni alınmış olup, bağlayıcı devir ve ortaklık sözleşmeleri taraflarca imzalanmıştır.

19.08.2021 tarihinde yapılan KAP açıklamamızda belirtildiği üzere, taraflarca sağlanmış mutabakata göre MOOV'un sermayesini temsil eden payların %75'inin devir bedeli, 16.000.000 USD tutarı üzerine MOOV'un kapanış tarihindeki bilançosunda yer alan araçlara ilişkin varlık ve yükümlülüklerinin netleştirilmesi ile hesaplanacak tutarın %75 oranındaki kısmının eklenmesi/çıkarılması şeklinde hesaplanacaktır. Bu hesaplama sonucunda toplam payının devir bedelinin yaklaşık 23.000.000.- USD seviyesinde olacağı tahmin edilmekle birlikte kesin tutar devir işlemlerinin tamamlandığı tarihte belli olacaktır.

Devir işlemlerinin en kısa sürede tamamlanması hedeflenmektedir.

Konu ile ilgili gelişmeler olduğunda kamuoyu bilgilendirilecektir.

As we previously announced on public disclosure platform (PDP) on 19.08.2021, we had reached a non-binding agreement with Getir Perakende Lojistik A.Ş. for equity stake sale of 75% of Moov Dijital Ulaşım Çözümleri Ticaret A.Ş (MOOV) which is an hourly car rental service company and 100% owned by our subsidiary Celik Motor Ticaret A.Ş. and as such preparations related to the transfer agreement had started.

In this context, we have received the approval of the Competition Board, and binding purchase and partnership agreements have been signed between the parties.

As we have previously announced on public disclosure platform (PDP) on 19.08.2021, according to the agreement reached by the parties, the transfer price for the 75% of the shares of Moov will be determined by on top of 16.000.000 USD, adding /subtracting 75% of the amount to be calculated by netting assets related with the vehicles and liabilities in the balance sheet of the MOOV on the closing date of transaction. As a result of this calculation, it is estimated that the total transfer value will be around 23.000.000.- USD but the exact final transfer value will be determined on the date of the completion of the share transfer.

The transfer is aimed to be completed within the shortest period of time.
