Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 24, 2014, Aflac Incorporated announced that Mr. Tohru Tonoike, a named executive officer, will retire from his role as president and chief operating officer of Aflac Japan effective December 31, 2014, and will assume the role of vice chairman of Aflac Japan effective January 1, 2015. Mr. Hiroshi Yamauchi will assume the position of president and chief operating officer of Aflac Japan effective January 1, 2015.
