Dear Sir/Madam,

This is with reference to Notice of Postal Ballot dated May 11, 2026 ("Postal Ballot Notice") seeking approval of members for the matters set out in the Postal Ballot Notice. The Postal Ballot Notice has already been dispatched to the members of the Company on May 11, 2026 in compliance with the Companies Act, 2013 & SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The Company has issued a corrigendum to the Postal Ballot Notice ("Corrigendum"), in relation to the explanatory statement of "Item No. 2" of the Postal Ballot Notice, pursuant to the suggestions / comments received from the Stock Exchanges.

The Corrigendum is being issued by way of a clarification and is intended to form an integral part of the Postal Ballot Notice. Shareholders of the Company and other stakeholders are requested to read the Postal Ballot Notice in conjunction with this Corrigendum.

It may be noted that the Corrigendum is being sent to all members to whom the Postal Ballot Notice has been sent.

A copy of the Corrigendum is enclosed for your reference and is also available on the Company's website i.e https://affle.com.

CORRIGENDUM TO THE POSTAL BALLOT NOTICE DATED MAY 11, 2026

The members of Affle 3i Limited (“Company”) are hereby informed that the Company has issued the Postal Ballot Notice dated May 11, 2026 (“Postal Ballot Notice”) to the Shareholders (“members”) in due compliance with the provisions of the Companies Act, 2013, and rules made thereunder, read with circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India, to transact the businesses stated therein. The Postal Ballot Notice was dispatched to the members of the Company on Monday, May 11, 2026.

The Company is issuing this Corrigendum to the Postal Ballot Notice (“Corrigendum”), to provide additional details in relation to the Item No. 2 (“Issuance of Warrants on a preferential basis to the Promoter of the Company”) of the Postal Ballot Notice, pursuant to the suggestions / comments received from Stock Exchanges.

The Company had obtained the Valuation Report from Resurgent Valuers Private Limited, Independent Registered Valuer having IBBI Membership No: IBBI/RV-E/02/2020/125, the link of which was provided in the Postal Ballot Notice. In compliance with the directions issued by Stock Exchanges, the Company has further obtained a Supplementary Information to Valuation Report dated June 5, 2026, reflecting the rationale for not taking income approach in the Valuation Report. Members may note that there is no change in the pricing of warrants or in any other information provided in the Postal Ballot Notice.

The Supplementary Information to Valuation Report has been published on the website of the Company at https://affle.com and the same can be viewed by clicking on the link https://affle.com/hubfs/annual-reports-agm-information/2026-27/supplementary_information_to_valuation_report.pdf.

This Corrigendum is being issued by way of a clarification and is intended to form an integral part of the Postal Ballot Notice. Shareholders of the Company and other stakeholders are requested to read the Postal Ballot Notice in conjunction with this Corrigendum.

All capitalised terms not defined herein, would have the same meaning as attributed to such terms in the Postal Ballot Notice. All other contents of the Postal Ballot Notice save and except as clarified, modified or supplemented by this Corrigendum, shall remain unchanged. The shareholders are requested to take note of the same. A copy of this Corrigendum and the Postal Ballot Notice shall be available on the Company’s website, https://affle.com, websites of the Stock Exchanges i.e. www.nseindia.com and www.bseindia.com, and on the website of KFin Technologies Limited, https://evoting.kfintech.com. The Board of Directors of the Company has approved the Corrigendum to the Postal Ballot Notice on June 6, 2026.

We would like to inform all those members, who have already casted their votes in the ongoing postal ballot i.e. after the start of e-voting towards the postal ballot but prior to receiving this Corrigendum dated June 6, 2026, and if they wish to modify their votes in light of the information provided in the Corrigendum, they can do so by writing an email to the scrutiniser at the following email address cskiransharma.co@gmail.com on or before 5.00 P.M. (IST) Wednesday, June 10, 2026. The scrutiniser will ensure that any modifications to the votes are duly recorded and taken into consideration while preparing their report.
