Appointment of François Brot as CEO

Request for the calling of an extraordinary general meeting

The Board of Directors of Genolier Swiss Medical Network SA has elected

Professor Hans-Reinhard Zerkowski as new Chairman of the Board. Mr.

Hans-Reinhard Zerkowski will hold the function of an Executive Chairman.

The Board of Directors has moreover appointed Mr. François Brot as Chief

Executive Officer of Genolier Swiss Medical Network SA. Mr. Brot was

previously Chief Operating Officer of the company.

Mr. Robert Pennone, Vice-chairman of the Board of Directors, has resigned

from office with immediate effect. As of today, the Board of Directors is

accordingly composed of Mr. Hans-Reinhard Zerkowski, Executive Chairman,

and Mr. Michael Schroeder.

Furthermore, Mr. Antoine Hubert, shareholder of the company, has submitted

to the Board of Directors a request for the calling of an extraordinary

general meeting of shareholders, the sole item of which are elections to

the Board of Directors. Mr. Antoine Hubert proposes the election of Messrs.

Raymond Loretan, Antoine Hubert, Antoine Kohler and Cédric A. Georges, who

were not reelected, respectively not elected, at the ordinary general

meeting of shareholders held on 9 June 2010. Since the actions of Mr.

Antoine Hubert, who until recently held functions at Genolier Swiss Medical

Network SA, are currently subject to an internal investigation ordered by

the Board of Directors, the extraordinary general meeting of shareholders

requested by Mr. Antoine Hubert will be called once the results of this

investigation are known and once the Board of Directors is in a position to

communicate these results.
