Subject: Intimation for allotment of Equity Shares under ‘Aether Industries Limited Employee Stock Option Scheme 2021’

In accordance with Regulation 30 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, we herewith inform that the Nomination and Remuneration Committee of the Company on November 20, 2024 has approved the issue and allotment of 25,430 Equity Shares of Face Value of Rs. 10 each at exercise price of Rs. 321/- each pursuant to ‘Aether Industries Limited Employee Stock Option Scheme 2021’ (herein referred as AIL ESOS 2021) to eligible employees upon exercise of Options, as annexed.

For the above AIL ESOS 2021, the Company has obtained in-principle approval of M/s. BSE India Limited and M/s. National Stock Exchange of India Limited for a pool of 11,00,000 Equity Shares, each shall be ranking pari-passu with existing Equity Shares. Necessary communication of this corporate action will be made to Depositories for credit of Equity Shares in account of beneficiaries, followed by listing and trading approvals from Stock Exchanges.

Upon allotment of above issued Equity Shares, Company’s Share Capital will be Rs. 1,32,58,29,720 (Rupees One Hundred Thirty-two Crore Fifty-eight Lakhs Twenty-nine Thousand Seven Hundred Twenty only), comprising 13,25,82,972 Equity Shares of Rs. 10 each.
