AEROPORTO GUGLIELMO MARCONI DI BOLOGNA S.p.A.: in the first meeting of the Board of Directors after its appointment, Nazareno Ventola confirmed as CEO with extensive managerial, executive and functional powers. Positively verified the independence requirements of Board of Directors and Board of Statutory Auditors members. Defined the composition of internal committees.

Bologna, May 3rd, 2022 – The Board of Directors of Aeroporto Guglielmo Marconi di Bologna whom met today, under the chairmanship of Enrico Postacchini, for the first time after its appointment during the General Shareholders' Meeting on April 26, 2022 – confirmed Nazareno Ventola as Chief Executive Officer of the company, who also maintains the position of Managing Director. His extensive managerial, executive and functional powers also include the position as Control and Risk Executive Officer with the functions provided for by the Corporate Governance Code.

The Board of Directors has then verified the independence requirements, according to the provisions of both Corporate Governance Code and Testo Unico della Finanza, of the Directors Sonia Bonfiglioli, Laura Pascotto and Elena Leti, and the independence requirements, according to Testo Unico della Finanza, of the Directors Giovanni Cavallaro and Alessio Montrella. The Board of Directors also positively assessed that Giovanni Cavallaro will be independent, both according to the TUF and the Corporate Governance Code from July 2023. The Board of Statutory Auditors has today positively verified the independence requirements of its members, indicated for Statutory Auditors of listed companies and by the existing law and the Corporate Governance Code.

Lastly the Board of Directors has defined the composition of internal committees:

Aeroporto Guglielmo Marconi di Bologna, classified as a "strategic airport" in the centre-north area of the National Airports Plan prepared by the Ministry of Infrastructure and Transport, recorded in 2021 - a year affected by the global pandemic – 4.1 million passengers, ranking as the eighth biggest Italian airport by number of passengers (Source: Assaeroporti).
