Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) On September 2, 2020, the Board of Directors (the “Board”) of Aehr Test Systems (the “Company”) approved the Company’s amended and restated Bylaws (the “Bylaws”) to allow for electronic notice of special meetings of the Company’s directors and eliminate language related to notice by telegram or telegraph. The foregoing description of the Bylaws does not purport to be complete and is qualified in its entirety by reference to the full text of the Bylaws, which are attached hereto as Exhibit 3.1 and are incorporated herein by reference.
