Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) On September 9, 2019, the Board of Directors (the “Board”) of Aehr Test Systems (the “Company”) adopted an amendment to Section 3.2 of Article III of the Company’s bylaws (the “Bylaws”) to provide that the exact number of directors shall be fixed from time to time, within the limits specified in the Bylaws, by a resolution duly adopted by the Board. The amendment to the Bylaws is effective immediately. The foregoing description of the amendment to the Bylaws does not purport to be complete and is qualified in its entirety by reference to the Bylaws, which are attached hereto as Exhibit 3.1 and are incorporated herein by reference.
