Sub: Update - Intimation pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulation”)

Ref: Letter dated 12 July, 2021 and letter day 20 May, 2022.

Dear Sir,

This bears reference to our earlier disclosures dated 12 July, 2021 and 20 May, 2022 about having entered into: (i) a Share Subscription Agreement dated 12 July, 2021 among Aegis Logistics Limited (“ Company ”), Vopak India B.V. (“ Vopak ”) and the Company’s wholly owned subsidiary Aegis Vopak Terminals Limited (formerly known as Aegis LPG Logistics (Pipavav) Limited) (“ AVTL ”) and amendment agreement to the SSA dated 19 May, 2022 (collectively, “ SSA ”); (ii) a Shareholders Agreement dated 12 July, 2021 between the Company, Vopak and the AVTL and amendment agreement to the SHA dated 19 May, 2022 (collectively, “ SHA ”).

Under the SSA, AVTL agreed to issue to Vopak, and Vopak, has agreed to subscribe to, the subscription shares, such that upon completion of the subscription to shares pursuant to the SSA, the Company shall hold the legal and beneficial ownership to 51% of the share capital of AVTL and Vopak shall hold the legal and beneficial ownership to 49% of the share capital of AVTL.

With respect to the above, we further inform you that on receipt of the application money of INR 1098,34,50,229 from Vopak, 490,000 equity shares of AVTL of INR 10 each have been allotted to Vopak representing 49% of the share capital of AVTL.

Accordingly, the Company owns 51% of the share capital of AVTL and Vopak owns 49% of the share capital of AVTL w.e.f. 25 May, 2022.

This disclosure is being made pursuant to Para B of Part A of Schedule III as provided in Regulation 30(3) of the Securities and Exchange Board of India (Listing Obligation & Disclosure Requirements) Regulations, 2015.
