Sub. : Annual General Meeting/ Book Closure/ E-voting cut-off date

We have to inform you of the following:

• 1. Pursuant to the General Circular No. 02/2021 dated January 13, 2021 issued by Ministry of Corporate Affairs ("MCA") read with SEBI Circular SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated January 15, 2021, 64th Annual General Meeting ("AGM") of the Company is scheduled to be held on Thursday, October 21, 2021 at 5:00 p.m. (IST) through Video Conference ("VC") or Other Audio Visual Means ("OAVM").
• 1. The Company has fixed Friday, September 17, 2021 as the "Record Date" for the purpose of determining the Members eligible to receive dividend for the financial year 2020-21 and Final Dividend, if approved by the shareholders at the AGM, will be paid on or before November 18, 2021.
• 1. In terms of Regulation 44 of SEBI LODR and Section 108 of the Companies Act, 2013 read with the Companies (Management & Administration) Rules 2014, the Company has fixed October 14, 2021 as the cut-off date to record the entitlement of shareholders to cast their vote for the said AGM by electronic means. Accordingly, the shareholders holding shares as on the cut-off date for e-voting only shall be entitled to avail the facility of remote e-voting as well as e-voting at the AGM.
• 1. The Company would be availing E-voting Services of Link Intime India Private Limited. Pursuant to the SEBI circular dated December 9, 2020 on "e-voting facility provided by Listed Companies", all the individual demat account holders can vote electronically by way of single login credential, through their demat accounts / websites of Depositories / DPs in order to increase the efficiency of the voting process. The e-voting facility will be available during the following e-voting period :

Commencement of e-voting	From 9.00 a.m. IST of Sunday, October 17, 2021
End of e-voting	Up to 5.00 p.m. IST of Wednesday, October 20, 2021
