Information memorandum regarding listing of consideration shares

Reference is made to the stock exchange release issued

20. January 2016.

Attached is Information Memorandum regarding listing of

25 151 275 shares issued as consideration to the

sellers of Aega Yieldco AS.

The consideration shares is expected to be transferred

from their current separate ISIN to Aega ASA ordinary

shares on 1. March 2016, and will be tradeable from the

same date.

After this, the total number of listed shares i Aega

ASA will be 27 360 295 shares.
