ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2007, Advanced Micro Devices, Inc. (the “Company”) filed a Current Report on Form 8-K stating that Frank Clegg had been elected to the Company’s Board of Directors (the “Board”).

On May 8, 2008, the Board appointed Frank Clegg to the Board’s Compensation Committee and Nominating and Corporate Governance Committee, effective May 8, 2008.

Mr. Clegg receives similar benefits the Company provides to non-employee independent directors for his Board and Committee service, which are described in the Company’s definitive proxy statement filed with the SEC on March 14, 2008.
