Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On February 4, 2005, at a regularly scheduled meeting, the board of directors of Advanced Micro Devices, Inc. (the “Company”) elected Morton L. Topfer to serve on the Company’s board of directors, effective immediately. There is no arrangement or understanding pursuant to which Mr. Topfer was selected as a director, and there are no related party transactions between the Company and Mr. Topfer. The Company’s board of directors appointed Mr. Topfer to serve as a member of the nominating and corporate governance committee.
