Item 8.01 Other Events.

On November 10, 2016, Advanced Drainage Systems, Inc. (the “Company”) issued a press release announcing the approval by the Board of Directors of the Company of the declaration of a cash dividend of $0.06 per share, payable on December 15, 2016 to stockholders of record at the close of business on December 1, 2016. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and hereby incorporated by reference.
