Zamil Industrial Investment Company Announces the Call for Nomination for the Board of Directors for a new term

| Introduction | Zamil Industrial Investment Company (Zamil Industrial) is pleased to announce to all its shareholders the call for nominations to its Board of Directors for the next three-year term, which will commence on 1 May 2022 and end on 30 April 2025. All nominations shall be in accordance with prevailing guidelines stipulated in the Companies Act issued by the Ministry of Commerce, the “Corporate Governance Regulations” issued by the Capital Market Authority, and the approved company policy for nominations (attached). The elections will take place during an upcoming General Assembly meeting, which will be announced in due course. |

Candidates for Board membership can download the pertinent forms [in Word format] and policy from the company’s website through the following link: https://www.zamilindustrial.com/bnm/en/Application RequirementsNominees (applies to both genders) must meet the following criteria:
1) They must comply with all conditions in the (Board Membership Policies and Standards) approved by the company's general assembly (Attached).
2) They cannot be a public civil servant (unless representing a legal entity).
3) They must not have been indicted for any crime or felony.
4) They must not have been declared bankrupt.
5) They must not have violated any capital market or commercial regulations.
6) They must not be a member of more than five listed joint-stock companies.
7) They should have adequate professional experience and educational qualifications.
8) They must agree to allocate enough time to the board’s work.
9) They must not engage in any business or other activity that does or appears to conflict or compete with the interests of the company or any of its activities.
10) They are independent and do not have any conflict of interest.
Before the application end date, each nominee must submit to the company their CV which shall include the following information: personal details, qualifications, current occupation, previous experience, and any similar experience with Zamil Industrial or a relevant industrial sector.
A nominee who has been a board member of other listed joint-stock company must submit a list of the dates of board meetings held during their tenure. If the nominee has previously been a member of the Zamil Industrial board, then they are required to submit the following information issued by the company for their latest board term:
1) A list of the board meetings held during each year of their board term, including, for each year, the number and percentage of meetings that they attended.
2) For all committee memberships, the number of meetings held during each year, including, for each year, the number and percentage of meetings that they attended.
3) A summary of the financial statements for each fiscal year of their board term.
A nominee will also be required to submit the following:
1) The signed Nomination Application letter (Attached)
2) Updated CV including the candidate's personal details, qualifications, and professional experiences.
3) Clear copy of both the National ID and Family ID for Saudi applicants; or the Iqama (residency permit) or passport for non-Saudi applicants. A clear copy of the Commercial Registration is required in case the applicant is representing a legal entity.
4) A completed and signed CMA Form -3 [in both Arabic and English] (Attached), the form is also available on the CMA's website (https://bit.ly/3qWw8VC).
5) A completed and signed Form -1 [in both Arabic and English] (Attached).
6) Recent colored photo (with white background).
Please note that during the general assembly only nominees who have submitted completed applications as per the above regulations will be entered into the ballot for board membership.
