This is to inform you that the 34th Annual General Meeting (“AGM”) of Advance Lifestyles Limited was held on Saturday, September 30, 2023 at 11:00 A.M. (IST) through Video Conferencing (VC) / Other Audio Visual Means (OAVM), without the physical presence of the Shareholders at a common venue. The meeting concluded at 11.45 A.M. (IST).

This is in compliance with the relevant Circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India and the provisions of the Companies Act, 2013 and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. In this regard, please find enclosed proceedings of the AGM pursuant to Part A of Schedule III of SEBI Listing Regulations.

PROCEEDINGS OF THE 34TH ANNUAL GENERAL MEETING OF ADVANCE LIFESTYLES LIMITED

The 34th Annual General Meeting (“AGM”) of the Members of Advance Lifestyles Limited (the “Company”) was held on Saturday, September 30, 2023 at 11:00 A.M. (IST) through Video Conferencing (VC) / Other Audio-Visual Means (OAVM).

The said AGM commenced at 11:00 A.M. (IST) and concluded at 11.45 A.M. (IST).

After ascertaining that the requisite number of Members were present through VC/OAVM, Ms. JYOTI LAXMAN BAMBADE, Director of the Company presided over the Meeting and welcomed all the Members.

With the requisite quorum being present, the Chairperson called the Meeting to order. The Chairperson informed that the Meeting was held only through VC / OAVM.

The registers, documents and records as required by law were also kept open for electronic inspection by the members. All Directors were present at the Meeting.

The Chairperson further introduced the following persons who had also joined the Meeting:

• Mr. Niraj Agrawal representing M/s. Niraj Agrawal & Co, Statutory Auditors of the Company;

• Ms. Pooja Amit Gala, Secretarial Auditor of the Company;

• Mrs. Meghna Shah, Partner of MSDS & Associates, Practicing Company Secretaries, as Scrutinizer.

It was informed that the 34[th] AGM Notice and Annual Report for the financial year 2022-23 had been sent electronically to those Members whose email ids were registered with the Company / RTA or Depository Participants. It is further requested to all shareholders to update their email ids with the Company. Further, those shareholders who are not holding shares in demat form, kindly open a demat account so that they can receive the bonus shares.

Thereafter, since the Notice convening the 34[th] AGM of the Company along with the Annual Report including the Statutory Auditors’ Report and the Secretarial Auditors’ Report for the Financial Year 2022-23 was circulated to all members on prior hand, with the consent of the Members present those were taken as read.

Thereafter, Mr. Sandeep Agarwal, Director of the Company briefed the shareholders about the facility of remote e-voting provided by the Central Securities Depository Limited (“CDSL”) to the Members of the Company. He informed that the remote e-voting facility had commenced on Wednesday, September 27, 2023 at 11.00 a.m. and ended on Friday, September 29, 2023 at 5.00 p.m. The Company had provided the facility to cast votes electronically to those Members at the AGM, who had not casted their votes and e-voting

process will continue for the next 30 minutes from the time of closure of the meeting thereafter it will be disabled automatically by CDSL.

Mr. Sandeep Agarwal further informed that Ms. Meghna Mehul shah, Partner of MSDS & Associates, Practicing Company Secretaries was appointed as Scrutinizer to scrutinize the entire voting process in a fair and transparent manner. The combined results of remote e- voting prior and during the AGM would be announced within 48 hours from the conclusion of this AGM and results along with the Scrutinizer’s Report would be intimated to the Stock Exchanges and also uploaded on the websites of the Company and CDSL.

The Chairperson, thanked all the Shareholders, Stakeholders, Board Members, and the entire team of the Company for their participation at the AGM.
