Grant of Options

Adsure Services PLC ("Adsure"), the holding company for TIAA Limited (together, "the Group"), a specialist business assurance provider, announces the grant of options over new ordinary shares of £0.005 each in the Company. Options have been granted in respect of a total of 62,855 new Ordinary Shares to members of staff, representing 0.59 per cent. of the Company's current issued share capital (the "Options").

As announced on 29 November 2024, the Company established a Company Share Option Plan ("CSOP"). The Board recognises that employees are critical to the long-term success of Adsure Services PLC. The Company continually reviews its overall benefits package to maximise its value to employees and improve strategies for recruitment, reward and retention of staff.

The Options have an exercise price of 30 pence per share, being the mid-price at the close over the preceding day prior to CSOP. The Options have been granted with performance conditions and certain financial conditions being met which include EBITDA for TIAA Limited increasing by at least 10% over the previous year, for the year ended 31 March 2025 and 31 March 2026, adjusted for a change in the Consumer Price index. On the 11 August 2025, the Company announced its Final Results for the year ended 31 March 2025 and therefore financial performance conditions in respect of 7,903 Options have been met. All options are conditional on the continued employment of the recipient at the date of exercise and shall expire on the tenth anniversary of the grant date.

Following the grant of the Options, the Company will have options outstanding over 955,895 ordinary shares, representing 9.03% of the Company's issued share capital.
