Cleansing Notice Under Section 708AA of the Corporations Act 2001 (Cth)

Adslot Ltd (ASX: ADS) (“ Adslot ” or the “ Company ”) hereby provides notice under section 708AA(2)(f) of the Corporations Act 2001 (Cth) ( Corporations Act ), as notionally modified by Australian Securities and Investments Commission ( ASIC ) Corporations (Non-Traditional Rights Issues) Instrument 2016/84 ( ASIC Instrument 2016/84 ).

Where applicable, references in this notice to sections of the Corporations Act are to those sections as modified by ASIC Instrument 2016/84.

The Company has today announced a pro rata accelerated non-renounceable entitlement offer ( Entitlement Offer ) of 3 fully paid ordinary shares in the Company ( New Shares ) for every 4 ordinary shares in the Company held as at 7.00pm (Melbourne time) on Wednesday, 19 June 2024 by shareholders with a registered address in Australia and New Zealand.

The Company confirms that:

1. the New Shares will be issued without disclosure to investors under Part 6D.2 of the Act;

2. as at the date of this notice, the Company has complied with:

   • the provisions of Chapter 2M of the Act as they apply to the Company; and

   • section 674 and 674A of the Corporations Act;

3. as at the date of this notice, there is no excluded information of the type referred to in sections 708AA(8) and 708AA(9) of the Act that is required to be set out in this notice under section 708AA(7) of the Act; and

4. the issue of New Shares under the Entitlement Offer is not expected to have a material effect or consequence on the control of the Company.
