Market Update

The Board of Ansearch Limited (‘Ansearch‘) (ASX: ANH) advises that the resolutions proposed to be put to the General Meeting of Shareholders scheduled for 22 October 2007 were withdrawn at the meeting.

The meeting had been called by Whodeani Pty Ltd to seek certain changes.

Prior to the General Meeting the Board met to address those matters and those raised by shareholders and management both to the Board and at several investor presentations.

The Company is pleased to announce that Board and management collectively agreed prior to the Meeting that in the interest of ALL shareholders a revitalisation of the board with global industry expertise and market specialists would add significant value to the Company. Specifically, Ansearch is seeking to create a board that can best navigate the Company during this current period of transformation from an early stage venture business to a leading independent Australian born global online media business.

The following agreed strategy has the full support of the Board and management and is in the interest of all shareholders.

1. New Phase of Company Growth

Since its inception, Ansearch has progressed along a path of rapid growth pursuing a variety of opportunities and business expansion symbolic of an exciting yet early stage venture business.

Recently, the Company has reached a sustainable period of material profitability and a streamlining of brand and offering to the customer. In addition to this the Company has made a significant acquisition in Webfirm further broadening the offering of the Company’s products and services. Ansearch in the past 6 months has also commenced on ground operations in the US.

A number of outcomes from the recent and ongoing review will be provided in the coming weeks in more detail. The significant immediate developments include board changes highlighted below.

2. Board Changes:

Chairman:

The new Board has as a priority the identification and appointment of an independent and significantly profiled chairman within the next 6 months.

Former Ansearch Chairman, Mr Peter Jermyn, has agreed to act as interim Chairman in the lead up to the Company’s Annual General Meeting.

Board Additions:

Ansearch is very pleased to announce two additions to the board, Mr Andrew Barlow and Mr Dean Jones.

  • Mr Andrew Barlow is a successful entrepreneur who has had significant success in a number of ventures. He is well known for his involvement as a co-founder of Hitwise, which was recently sold for USD 240m to Experian (EXPN.L), a multibillion dollar global information services Company listed on the London Stock Exchange. Mr Barlow has significant expertise

in online media and business building with a strong understanding of the UK and North American markets and will be invaluable in refining and streamlining the ongoing strategy of the business growth.

Mr Barlow is an existing shareholder in Ansearch and the board believes he will be a valuable addition to the board in helping manage the continued rapid growth and expansion globally.

  • Mr Dean Jones – previous CEO and founder of Ansearch, Mr Jones is the largest individual shareholder in Ansearch and responsible for much of initial growth and direction of the Company with the existing management team.

The board welcomes Mr Jones to the board in a non-executive role where his experience and history with the Company since inception will provide valuable input into the future direction of Ansearch.

Further to the above the Company is actively seeking the appointment of at least one other additional industry related person to the Board.

Board Resignations:

To facilitate these additions to the board and in light of the Company reaching profitability and entering a new phase of growth, Ansearch directors Terry Grigg and Chairman Glenn Ridge agreed to step down to make way for Mr Barlow and Mr Jones.

Departing Chairman Glen Ridge commented, “I have been honoured to be a part of the board and direction of such an exciting Company as Ansearch since the beginning of its growth and am pleased that the Company’s rapid expansion and unique business model have reached the next stage. It is inevitable that such growth brings with it challenge and change and in this case to facilitate the next stage in the interest of all shareholders I have decided to step down to make way for a new global independent chairman with global experience in the industry. Furthermore, I am pleased we have been able to attract the calibre of Andrew Barlow onto the board which cements the beginning of the next phase of the Company’s life as a leading independent profitable, scalable online media business. Lastly I wish to thank all shareholders for their support during my time as Chairman and wish the Company great future success.”

Terry Grigg commented, “I have enjoyed the challenges that Ansearch’s rapid growth has raised and wish the Company well in this next phase of development. I believe the outcome for all shareholders from this recent period of uncertainty is optimistic and thank shareholders for their support during my term as Ansearch Director.”

3. Company Stability – Management Letter:

In reference to the Letter from Ansearch Senior Management released 5[th] October 2007, the Ansearch board is pleased to announce all signatories of the letter have indicated they will remain with the Company in light of the announced changes.

4. Intellectual Property and Domain Names

The Board has endorsed Mr Andrew Barlow to work with Mr Dean Jones to review, resolve and finalise any outstanding issues there may be in regards to intellectual property and domain name transfers.

Interim Chairman Mr Jermyn said: “I am extremely pleased with the outcome and the consequent ability of the Company to now concentrate on our business and our growth. I am delighted that our

founder is now back on board and just as delighted that Andrew Barlow has agreed to join Ansearch. The Company has endeavoured for some time to have Andrew join the Board because he not only represents a substantial shareholding but, more specifically because of his extremely impressive history and talents within this industry. His involvement and record with major internet rating company “Hitwise” and his dynamic approach to business will be of considerable benefit to this Company moving forward”.

“I am also extremely pleased that the interests of several large shareholding groups have been aligned. Those parties will now work constructively with the Board to refocus the Company and to maximise performance, growth and share market appeal.

Mr Jermyn continued: “Ansearch is strategically placed in the rapidly growing advertising segment of the online media industry. I have little doubt that both the Company and its shareholders can now look forward with significant optimism and excitement to the future ahead, both short and long term.”
