Sub: Intimation of Communication to the Shareholders

This is to inform that NCLT, Mumbai Bench, vide its Order dated 18[th] May, 2023 has directed, in the Company Scheme Application No. CA(CAA)/47/MB/2023 (‘Order’), in the matter of Scheme of Amalgamation (merger by absorption) of Ador Fontech Limited (‘Transferor Company’) with Ador Welding Limited (‘Transferee Company’), inter alia , that the meeting of the Equity Shareholders of Ador Welding Limited, be convened on Thursday, 10[th] August, 2023, through video-conferencing or other audio-visual means (‘VC/OAVM’) (‘Meeting’), to consider and if thought fit, with or without modification(s), approve the said Scheme.

In this regard, the Notice, Explanatory Statement and Annexures, for the aforesaid meeting, were sent by electronic mode only (through email), to all the Shareholders of the Company, whose e-mail IDs are registered with the Company / RTA / Depositories on 07[th] July, 2023 and physical copy of the said Notice to those Shareholders, whose e-mail addresses are not registered, at their last known addresses on 08[th] July, 2023.

The aforesaid notice is also available on the website of the Company.
