Notice is hereby given that the Sixty Eight (68th) Annual General Meeting (AGM) of the Company will be held through Video Conferencing ("VC") / Other Audio-Visual Means ("OAVM") on Thursday, 12" August, 2021 at 11:00 a.m. IST, to transact the ordinary and special business as stated in the Notice, without physical presence of the Members at a common venue.

The Notice along with the 68" Annual Report was dispatched on Saturday, 17" July, 2021. In line with the Circulars, issued by MCA and SEBI, the notice of the 68" AGM along with the Annual Report for FY 2020-21 has been sent only by electronic mode to those Members whose e-mail addresses were registered with the Company / Depositories / RTA.

The instructions for joining AGM are provided in detail in the said Notice conveying the 68" AGM. Members participating through VC / OAVM facility shall be reckoned for the purpose of quorum under Section 103 of the Companies Act, 2013.

The Notice of the 68" AGM and the Annual Report is uploaded on the website of the Company: https:/Avww.adorwelding.com/ and on the websites of the Stock Exchanges viz. https:/Avww.bseindia.com/ and https:/Awww.nseindia.com/. E-voting: Pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, as amended from time to time, and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, the Company is offering e-voting facility (remote e-voting as well as e-voting at AGM) to its Members to cast their votes electronically, on all the resolutions set forth in the Notice of the 68' AGM, through the services provided by NSDL. Instructions for E-voting:

The remote e-voting period shall commence on Monday, 09" August, 2021 (at 09:00 am IST) and end on Wednesday, 11" August, 2021 (at 05:00 pm IST). The remote e-voting module shall be disabled thereafter.

The Cut-off date for determining the eligibility of Members for remote e-voting and e-voting at the AGM is Thursday, 05" August, 2021. A person whose name is recorded in the list of Beneficial Owners maintained by the depositories or in the Register of Members as on the cut-off date shall be entitled to avail the facility of remote e-voting as well as e-voting at the AGM.

शुक्रवारी उद्घाटन होणारी ऑलिंपिक क्रीडा स्पर्धा रद्द होऊ शकते का, या प्रश्नास नकारार्थी उत्तर देणे संयोजन समितीचे अध्यक्ष तोशिरो मतो यांनी टाळले. त्यांनी कोरोनाच्या वाढत्या रुग्णांकडे आमचे लक्ष आहे आणि आवश्यकता भासल्यास ठरवले आहे. कोरोना रुग्गात वाढ होईल संबंधितांबरोबर चर्चा करण्यात येईल, असे सांगितल्यामुळे पुन्हा अनिश्चिततेचे ढग किंवा कमी होतील, त्या वेळी असलेल्या आले आहेत.

६८ व्या वार्षिक अहवालासह वार्षिक सर्वसाधारण सभेची सूचना शनिवार, दिनांक १७ जुलै २०२१ रोजी निर्गमित करण्यात आली आहे. एमसीए आणि सेबी यांनी जारी केलेल्या परिपत्रकानुसार ज्या सभासदांचे ई-मेल तपशील कंपनी/ डिपॉझिटरी पार्टीसिपंटस/ रजिस्टार आणि शेअर टान्स्फर एजंट्स यांच्याकडे नोंदणीकृत आहेत अशा सभासदांना ६८ व्या वार्षिक सर्वसाधारण सभेची सूचना आणि वित्तीय वर्ष २०२० – २१ करीताचा कंपनीचा वार्षिक अहवाल इलेक्टॉनिक माध्यमातन, निर्गमित करण्यात आला आहे.

वार्षिक सर्वस्ताधारण सभेत सहभागी होण्यासाठी आवश्यक त्या सर्व सूचना ६८ व्या वार्षिक सर्वसाधारण .
सभेच्या सूचनेत विस्ताराने नमूद करण्यात आल्या आहेत. कंपनी कायद्याच्या कलम १०३ अनुसार वार्षिक सर्वसाधारण सभेला व्हीसी/ ओएव्हीएम यांच्या माध्यमातून उपस्थित असलेल्या सदस्यांची .

वित्तीय वर्ष २०२०-२१ करीताचा वार्षिक अहवाल आणि कंपनीच्या ६८व्या वार्षिक सर्वसाधारण सभेची सूचना कंपनीचे संकेतस्थळ www.adorwelding.com येथे त्याचप्रमाणे स्टॉक एक्स्चेंज यांची संकेतस्थळे म्हणजेच www.bseindia.com आणि www.nseindia.com येथे अपलोड करण्यात आली आहेत. वार्षिक सर्वसाधारण सभेच्या सचनेची प्रत नॅशनल सिक्यरिटीज विषॉन्निटरीज लिमिटेड (एनएसडीएल) यांचे संकेतरथळwww.evoting.nsdl.com येथे उपलब्ध आहे. समभागधाकवार्षिक अहवाल आणि कंपनीच्या ६८ व्या वार्षिक सर्वसाधारण सभेची सूचना प्राप्त करण्यासाठी कंपनीशी [email protected] येथे संपर्क साधू शकतात आणि ते त्यांना इलेक्ट्रॉनिक माध्यमातून उपलब्ध करून देण्यात येतील.

पद्धतीच्या माध्यमातून (दूरस्थ ई- मतदान पद्धती आणि वार्षिक सर्वसाधारण सभेदरम्यान ई- मतदान पद्धती ) मतदानाचा हक्क बजावण्याची सुविधा कंपनी उपलब्ध करून देत आहे. ई– मतदानासाठी सूचना : –

दूरस्थ ई- मतदान प्रक्रियेला सोमवार, दिनांक ९ ऑगस्ट २०२१ रोजी भारतीय प्रमाणवेळेनसार सकाळी ९. ०० वाजता प्रारंभ करण्यात येईल आणि ही प्रक्रिया बधवार दिनांक ११ ऑगस्ट २०२१ रोजी भारतीय प्रमाणवेळेनुसार संध्याकाळी ५.०० वाजता संपुष्टात येईल. दूरस्थ ई-मतदान प्रारूप त्यानंतर मतदानासाठी बंद करण्यात येईल.
दूरस्थ ई-मतदान पद्धती आणि वार्षिक सर्वसाधारण सभेदरम्यान ई-मतदान पद्धती यांच्या। ।।ध्यमातून मतदानासाठी सभासदांची पात्रता निर्धारित करण्यासाठी गुरूवार, दिनांक ५ ऑगस्ट २०२१ ही कट ऑफ तारीख म्हणून निर्धारित करण्यात आली आहे. अशा व्यक्ती ज्यांची नावे डिपॉझिटरीज यांनी तयार केलेल्या सभासद नोंद पुस्तिकेत आणि लाभार्थी मालकांच्या यादीत कट ऑफ तारीख रोजी नोंदणीकृत आहेत, त्या व्यक्ती दूरस्थ ई-मतदान पद्धती त्याचप्रमाणे वार्षिक सर्वसाधारण सभेदरम्यान ई–मतदान पद्धतीने मतदान करण्यास पात्र असतील.
वार्षिक सर्वसाधारण सभेची सूचना निर्गन्ति झाल्यानंतर एखादी व्यक्ती कंपनीचे समभाग घेऊन कंपनीची ।भासद झालेली असेल आणि कट ऑफ तारीख म्हणजेच गुरुवार, दिनांक ५ ऑगस्ट २०२१ तिच्याकर कंपनीचे समभाग असतील तर अशी व्यक्ती evoting @nsdl.co.in येथे किंवा investorservices@ adorians.com येथे संपर्क साधून लॉग इन आयडी आणि पासवर्ड प्राप्त करू शकते.
वार्षिक सर्वसाधारण सभेच्या पूर्वी दूरस्थ ई-मतदान पद्धतीचा अवलंब करून मतदानाचा हक्क बजावलेली व्यक्ती ६८व्या वार्षिक सर्वसाधारण सभेला उपस्थित राहू शकते मात्र तिला वार्षिक सर्वसाधारण सभेच्या दरम्यान पुन्हा मतदान करता येणार नाही.
ज्या सभासदांकडे कंपनीचे समभाग प्रत्यक्ष स्वरूपात आहेत किंवा डिमॅट स्वरूपात आहेत अशा सभासदांसाठी तसेच ज्या सभासदांनी आपले ई- मेल तपशील अद्याप नोंदणीकृत केलेले नाहीत अशा सभासदांसाठी ई मतदानासाठी पद्धती आणि सूचना ६८ व्या वार्षिक सर्वसाधारण सभेच्या सूचनेत नमूद करण्यात आल्या आहेत.

ज्या सभासदांकडे कंपनीचे समभाग प्रत्यक्ष स्वरूपात उपलब्ध आहेत आणि ज्या सभासदांनी आपले ! मेल तपशील अद्याप नोंदणीकृत केलेले नाहीत असे सभासद investorservices@adorians. com येथे किंवा [email protected] येथे विनंती करून आपले ई मेल तपशील नोंदणीकृत करू शकतात. ज्या सभासदांकडे कंपनीचे समभाग डिमॅट स्वरूपात उपलब्ध आहेत अशा तभासदांना आवाहन करण्यात येते की त्यांनी संबंधित डिपॉझिटरी पार्टीसिपंट यांच्याकडे आपले ई मेल तपशील नोंदणीकृत करून घ्यावेत.

दरस्थ ई मतदान पद्धती त्याचप्रमाणे वार्षिक सर्वसाधारण सभेदरम्यान ई मतदान पद्धतीने झालेल्या मतदानाचे निकाल वार्षिक सर्वसाधारण सभा संपल्यानंतर कामकाजाच्या दोन दिवसांत जाहीर करण्या .
