NOTICE OF THE 29[TH] ANNUAL GENERAL MEETING, BOOK CLOSURE AND E-VOTING INFORMATION

NOTICE is hereby given that the 29th Annual General Meeting (AGM) of the Members of the Company will be held on Friday, 25th September, 2020 at 9.30 A.M through Video conferencing (VC) /Other Audio Visual Means (OAVM) to transact the business, as set out in the notice of AGM, sent to the members by email.

In compliance with the applicable provisions of the Companies Act, 2013 and rules made thereunder read with General Circulars dated 8[th] April, 2020, 13[th] April, 2020 and 5[th] May, 2020 issued by the Ministry of Corporate Affairs(MCA) and Circular dated 12[th] May,2020 issued by Securities and Exchange Board of India {hereinafter collectively referred to as ‘ Circulars’}; Companies are allowed to hold AGM through VC/OAVM, without the physical presence of the Members at a common venue due to the ongoing Covid-19 pandemic restrictions for public gatherings. Accordingly, the AGM of the Companies is also being held through VC to transact the business as set forth in the Notice of the AGM. Members attending the AGM through VC/OAVM shall be reckoned for the purpose of quorum under Section 103 of the Companies Act, 2013.

In compliance with the above circulars, the notice of the AGM along with the Annual Report 2019-20 have been sent on September 3, 2020 by email to all the members whose email IDs are registered with the Company/RTA/Depository Participant(s) (DP).The requirements of sending physical copy of the Notice of the 29[th] AGM and the Annual Report to the members have been dispensed with above circulars. The aforesaid documents are also be available on the website of the Company, viz. www.adityaispat.com and on the website of the stock exchange where the equity shares of the Company are listed i.e., BSE Limited (www.bseindia.com) and CDSL’s website : www.evotingindia.com.

Notice is further given that pursuant to the Section 91 of the Companies Act, 2013 and under Regulation 42 of SEBI (Listing Obligation & Disclosure Requirements) Regulations, 2015 The Register of Members and share transfer books of the Company will be closed from 19th September 2020 to 25[th] September, 2020 (both days inclusive) for the purpose of 29[th] AGM of the Company.

Pursuant to the provisions of Section 108 of the Companies Act 2013, as amended read with the rule made thereunder and Regulation 44 of SEBI (Listing Obligation & Disclosure Requirements) Regulations, 2015 the items of business to be transacted at meeting may be transacted through electronics means. The Company is pleased to providing remote e-voting facility to all its members to exercise their right to vote on the Resolution through remote E-voting platform provided by the Central

Depository Services (India) Limited (CDSL) www.evotingindia .com. Additionally, the Company is providing the facility of voting through e-voting platform provided by CDSL during the AGM (‘E-Voting’). Detailed procedure for remote e-voting/e-voting is provided in the Notice of AGM. The e-voting details are as follows:

a)	Cut-off date for voting by the Members and participation in AGM through VC	Friday, 18th September,2020
b)	Date and time of commencement of remote e-voting	Tuesday,22nd September,2020 (9:00 A.M.IST)
c)	Date and end time of remote e-voting	Thursday,24th September,2020 (5:00 P.M.IST)
d)	Date of e-voting during the AGM	Friday, 25th September,2020 during the AGM.

Any person, who acquires shares of the Company and become a Member of the Company after the notice has been sent electronically by the company and holds shares as of the cut-off date; may obtain the login ID and password by sending a request to [email protected]/[email protected]. However, if he/she is already registered with CDSL for remote e-voting then he/she can use his/her existing User Id and password for casting their votes.

Mr. Rajesh Kumar Bengani, a practicing Chartered Accountant, Hyderabad has been appointed as Scrutinizer for the remote e-voting and the e-voting at AGM.

Kindly note that once you have cast your vote through remote e-voting you cannot modify or you cannot exercise e-voting during the AGM again. However you can attend the Meeting through VC/OAVM. The results of e-voting will be announced by the Scrutinizer and will be posted in the company’s website and also informed to the Stock Exchanges.
