Sub: Allotment of 7,700 Equity Shares pursuant to Aditya Birla Capital Limited Employee Stock Option Scheme 2017 (ABCL Scheme 2017) and 4,26,691 Equity Shares pursuant to Aditya Birla Capital Limited Employee Stock Option and Performance Stock Unit Scheme 2022 (ABCL Scheme 2022)

This is to inform you that the Stakeholders Relationship Committee of the Company has approved the allotment of 4,34,391 Equity Shares of the face value of ₹10/- each on 9 December 2025 pursuant to exercise of Stock Options / Restricted Stock Units/ Performance Stock Units under ABCL Scheme 2017 and ABCL Scheme 2022. All the said Equity Shares will rank pari passu with the existing Equity Shares of the Company, in all aspects.

Consequent to the above allotment, the Paid-up Equity Share Capital of the Company will increase from ₹ 26,15,33,49,380 (i.e. 2,61,53,34,938 equity shares of face value ₹10/- each) to ₹ 26,15,76,93,290 (i.e. 2,61,57,69,329 equity shares of face value ₹10/- each).
