Notice of Status of Conditions

To: The Manager Market Announcements Office ASX Limited

and

The Company Secretary Adherium Limited

This is a notice issued by Respiri Limited ( Respiri ) in relation to the offers ( Offers ) made under its offmarket takeover bid for all of the ordinary shares in Adherium Limited (ASX: ADR) ( Adherium ) contained in Respiri's replacement bidder's statement dated 27 May 2021 ( Replacement Bidder's Statement ).

For the purposes of section 630(3) of the Corporations Act 2001 (Cth), Respiri gives notice that, as at the date of this notice:

(a) it has not declared the Offers free of any the defeating conditions set out in the Replacement Bidder's Statement;
(b) so far as Respiri is aware, none of the defeating conditions set out in the Replacement Bidder's Statement have been fulfilled and, accordingly, the Offers remain subject to those defaulting conditions; and
(c) as at 9:00am (Sydney time) on 8 July 2021, its voting power in Adherium is 0.11%.
