Stralis Capital Partners appointed lead manager for equity raising
Melbourne, Australia – 17 November 2025: Leading digital health company Adherium Limited (ASX: ADR) (“Adherium” or “the Company”) advises that it has entered into an engagement agreement with Stralis Capital Partners Pty Ltd (“ Stralis Capital ”) to act as the Company’s strategic advisor and capital markets adviser in connection with the Company’s capital management initiatives, including the early exercise of options and any future equity capital raising activity.
Under the agreement, Stralis Capital will provide ongoing strategic and capital markets advice to the Board, assist the Company with market and investor communications, support register transition activities, and advise on the structure and execution of potential equity capital raisings. As part of the engagement, Stralis Capital has been granted the right to act as lead manager for any equity capital raising undertaken by Adherium for a period of six months from the effective date of the engagement.
The agreement became effective on 17 November 2025, recognising that advisory services had already commenced on 24 October 2025. The engagement will continue until the issuance of shares in connection with the completion of the early option exercise. Either party may terminate the agreement at any time, in which case Stralis Capital will remain entitled to receive all fees accrued for services performed and reimbursement of expenses incurred up to the date of termination.
As consideration for the services provided, Adherium intends to issue Stralis Capital 15,000,000 fully paid ordinary shares (“ Advisory Fee Shares ”). The share-based fee reflects an agreed value equivalent to $75,000, representing a deemed issue price of $0.005 per share. If shareholder approval is required for the share issue and is not obtained, the Company will instead pay a cash fee of $75,000. The Advisory Fee Shares will rank equally with all existing fully paid ordinary shares on issue.
The Company proposes to issue the Advisory Fee Shares under its Listing Rule 7.1 placement capacity, unless shareholder approval is required or elected to be sought. A cleansing notice under section 708A(5) of the Corporations Act will be released if the Advisory Fee Shares are issued without shareholder approval. The Company will update the market once the issue date is finalised.
The engagement of Stralis Capital supports Adherium’s ongoing capital management initiatives and provides access to specialist advice and execution capability to assist with both the early option exercise and broader capital markets strategy. Stralis Capital Partners is not a related party of the Company for the purposes of the Corporations Act or the ASX Listing Rules.
