Based on recommendation of Nomination & Remuneration Committee, in its Meeting held today i.e. Tuesday, May 12, 2026 has considered and approved the appointment of Mr. Vineet Kumar Ojha (DIN: 11708632) as an Additional Independent Director (Non-Executive) of the Company for a first term of 5 (Five) years with effect from May 12, 2026, subject to the approval of the Shareholders to be obtained within three months hereof.

2. Other Businesses.
