NOTICE OF CHANGE OF AUDITOR

TO: PricewaterhouseCoopers LLP MNP LLP AND TO: British Columbia Securities Commission Alberta Securities Commission Ontario Securities Commission New Brunswick Financial and Consumer Services Commission Nova Scotia Securities Commission

Adex Mining Inc. (the " Corporation ") hereby provides notice pursuant to Section 4.11 of National Instrument 51-102 (" NI 51-102 ") of the resignation of PricewaterhouseCoopers LLP (the " Former Auditor ") as the auditor of the Corporation and the appointment of MNP LLP (the " Successor Auditor ") in its place.

The Corporation confirms that:

1. The Former Auditor resigned at the Corporation's request effective September 24, 2021.

2. The Audit Committee of the Corporation accepted the resignation of the Former Auditor.

3. The Audit Committee of the Corporation considered, recommended, and the Board of Directors of the Corporation adopted the recommendation, to approve the appointment of the Successor Auditor.

4. The auditor’s reports of the Former Auditor on the annual financial statements of the Corporation for the years ended December 31, 2020 and 2019 did not contain any reservations or modifications as to departures from generally accepted accounting principles or limitations in the scope of the audit.

5. In connection with the audit of the Corporation for the year ended December 31, 2020, and through to the date of the resignation of the Former Auditor, there have been no reportable events as defined in Section 4.11 of NI 51-102.

6. The Corporation has requested that the Former Auditor and the Successor Auditor each furnish a letter addressed to the securities administrators in each province in which the Corporation is a reporting issuer stating whether or not they agree with the information contained in this notice. A copy of each such letter to the securities administrators will be filed with this notice.
