Adevinta ASA – Disclosure of shareholding by eBay

Oslo, 24 April 2024: Reference is made to the stock exchange announcement made by Aurelia Bidco Norway AS (the "Offeror") on 24 April 2024 regarding fulfilment of the regulatory approvals condition and settlement notification for the voluntary offer in Adevinta ASA (the "Offer"), which is estimated to take place on 29 May 2024.

Pursuant to a transaction completion agreement, eBay Inc. will (through its subsidiaries eBay International Holding GmbH and eBay International Management B.V. ("eBay")), on the date of settlement of the Offer, contribute in exchange for newly issued shares in certain of the Offeror's indirect parent companies, or sell for cash, 100% of its shares, equal to 404 231 183 shares, in Adevinta ASA to the Offeror, in each case, at the offer price.

Following such completion, eBay will accordingly not hold any shares or votes in Adevinta ASA.
